These Terms of Service ("Terms") govern your use of the ShopWhisper application ("Service") provided by ShopWhisper.ai ("we", "us", "our"). By installing or using ShopWhisper, you ("Merchant", "you") agree to these Terms.
ShopWhisper is a Shopify application that provides an AI-powered voice and text shopping advisor widget for your online store. The Service includes the storefront widget, merchant dashboard, AI conversation processing, analytics, and related features.
To use ShopWhisper, you must have an active Shopify store and install the app through the Shopify App Store. By installing, you authorize ShopWhisper to access your store's product catalog, theme settings, and order data as required for the Service to function. You are responsible for maintaining the security of your Shopify account.
ShopWhisper offers subscription plans billed through Shopify's billing system. By selecting a plan, you agree to the associated recurring charges. Key billing terms:
New merchants receive a 14-day free trial with 1,000 credits. No payment information is required during the trial. If you do not select a paid plan before the trial ends, the AI advisor widget will become inactive until a plan is activated.
AI conversations consume credits based on actual usage. Text conversations are metered by tokens processed, and voice conversations are metered by duration. Credit rates are published on our pricing page and may be updated with 30 days notice. Unused credits from monthly allotments do not roll over to the next billing cycle.
ShopWhisper uses artificial intelligence to generate responses for your store's customers. You acknowledge that:

ShopWhisper and its components (widget, dashboard, AI systems, branding) are owned by ShopWhisper.ai. You retain ownership of your product data, brand content, and custom knowledge base content. You grant us a limited license to use your content solely for providing the Service.
Our collection and use of data is governed by our Privacy Policy. By using ShopWhisper, you agree to the data practices described therein. You are responsible for ensuring your use of ShopWhisper complies with applicable privacy laws and your own store's privacy policy.
We strive to maintain high availability but do not guarantee uninterrupted service. We may perform maintenance, updates, or experience downtime. We will make reasonable efforts to notify merchants of planned maintenance. We are not liable for losses resulting from service interruptions.
To the maximum extent permitted by law, ShopWhisper.ai shall not be liable for any indirect, incidental, special, consequential, or punitive damages, including lost profits, lost sales, or lost data, arising from your use of the Service. Our total liability for any claim shall not exceed the amount you paid for the Service in the 12 months preceding the claim.
You agree to indemnify and hold harmless ShopWhisper.ai from any claims, damages, or expenses arising from your use of the Service, your violation of these Terms, or your violation of any law or third-party rights.
Either party may terminate this agreement at any time. You may uninstall ShopWhisper from your Shopify admin. We may suspend or terminate your access if you violate these Terms or Shopify's policies. Upon termination, your data will be handled according to our Privacy Policy and Shopify's GDPR requirements.
We may modify these Terms at any time. Material changes will be communicated through the Shopify admin dashboard or email at least 30 days before taking effect. Continued use of ShopWhisper after changes take effect constitutes acceptance of the new Terms.
These Terms are governed by the laws of the State of California, United States, without regard to conflict of law provisions. Any disputes shall be resolved in the courts of San Diego County, California.
